1. Introduction
These Terms and Conditions govern the use of AMOAH INFOTECH services, website, proposals, software solutions, consulting engagements, and related technology deliverables. By engaging AMOAH INFOTECH, you agree to these terms unless a separate written agreement has been signed by both parties.
2. Company Information
AMOAH INFOTECH is a registered Information Communication Technology company based in Accra, Ghana. The company provides software development, artificial intelligence, technology consulting, cloud infrastructure, mobile and web application development, computer hardware, and related IT services.
3. Services
Services may include software engineering, AI systems, machine learning solutions, chatbots, web and mobile applications, API development, enterprise systems, cloud deployment, DevOps, cybersecurity guidance, robotics education, technology training, hardware sales, and IT consulting.
4. Project Scope and Deliverables
Each project will be defined by a proposal, statement of work, invoice, quotation, or written agreement. Any work outside the agreed scope may require revised timelines, additional fees, or a separate agreement.
5. Client Responsibilities
Clients are responsible for providing accurate requirements, timely feedback, required access credentials, approvals, content, data, and any third-party materials needed to complete the work. Delays in providing these items may affect project timelines.
6. Fees and Payment
Fees, payment schedules, deposits, and milestones will be stated in the applicable proposal, invoice, or agreement. AMOAH INFOTECH may pause work when payments are overdue. Unless otherwise agreed, payments made for completed work, deposits, or approved milestones are non-refundable.
7. Intellectual Property
Upon full payment, clients receive ownership or usage rights to custom deliverables as described in the project agreement. AMOAH INFOTECH retains ownership of pre-existing tools, frameworks, reusable code, templates, know-how, and internal processes used to deliver services.
8. Third-Party Services
Projects may rely on third-party platforms, APIs, hosting providers, software libraries, payment services, cloud vendors, or hardware suppliers. AMOAH INFOTECH is not responsible for downtime, pricing changes, policy changes, or failures caused by third-party services.
9. Confidentiality
AMOAH INFOTECH will take reasonable steps to protect confidential client information. Clients must also protect confidential information, credentials, documentation, and proprietary materials shared by AMOAH INFOTECH.
10. Data and Security
AMOAH INFOTECH applies reasonable technical and organizational measures when handling client systems and data. No digital system can be guaranteed completely secure, and clients remain responsible for their own data governance, legal compliance, backups, and access management unless otherwise agreed.
11. Warranties and Limitations
Services are provided with professional care and skill. Except where expressly agreed in writing, AMOAH INFOTECH does not guarantee uninterrupted service, specific business outcomes, error-free operation, or compatibility with all future third-party changes.
12. Limitation of Liability
To the fullest extent permitted by applicable law, AMOAH INFOTECH will not be liable for indirect, incidental, consequential, or special damages, including loss of profit, revenue, data, goodwill, or business opportunity.
13. Termination
Either party may terminate an engagement according to the written project agreement or by written notice where no separate agreement exists. The client remains responsible for payment for work completed, approved expenses, and committed third-party costs up to the termination date.
14. Governing Law
These terms are governed by the laws of Ghana. Any disputes should first be addressed through good-faith discussion. If unresolved, disputes may be handled through the appropriate legal processes in Ghana.
15. Updates to These Terms
AMOAH INFOTECH may update these terms from time to time. The latest version will be made available on the website or provided upon request.
